1. The agreement

These Terms of Service (the "Terms") form a binding legal agreement between you ("you" or "member") and FORKAIA CORPORATION, a California corporation ("Forkaia," "we," "us," or "our"). They govern your access to and use of the Forkaia® platform, website at forkaia.com, mobile experiences, and any related services we offer (collectively, the "Service").

By creating an account, paying for a membership, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy. If you don't agree, don't use the Service.

2. Who can use Forkaia®

You must be at least 18 years old to create an account and pay for a membership. If you are between 16 and 18, you may use the Service only with a parent or legal guardian who agrees to these Terms on your behalf.

You also represent that:

  • You can legally enter into a binding contract;
  • You're not barred from using the Service under U.S. law or the law of your jurisdiction;
  • The information you give us is accurate and you'll keep it accurate.

3. Your account

You are responsible for everything that happens under your account, including keeping your login credentials confidential. Tell us immediately at support@forkaia.com if you suspect unauthorized access.

We may suspend or terminate your account if we reasonably believe you've violated these Terms, abused the platform, or put other members or partner companies at risk.

4. Membership & billing

Pricing

Forkaia® Membership is $49 per month, billed annually at $588 USD. The full annual amount is charged to your payment method on the day you sign up and on each subsequent annual renewal date, unless you cancel beforehand.

Payment processing

Payments are processed by Stripe, Inc. We don't store your full card number on our servers. By submitting payment, you also agree to Stripe's terms of service.

Automatic renewal

Your membership renews automatically for successive one-year terms at the then-current annual rate, charged to the payment method on file, unless you cancel at least one (1) day before your renewal date.

Taxes

Stated prices don't include sales tax, VAT, GST, or similar taxes, which we add at checkout where required.

Price changes

We may change membership prices. If we raise your price, we'll give you at least 30 days' notice before your next renewal so you can decide whether to cancel.

California auto-renewal notice. This is an automatic-renewing subscription. We will charge your payment method on file at the start of each renewal term unless you cancel beforehand. You may cancel at any time from your account dashboard or by emailing support@forkaia.com.

5. Cancellation

You can cancel any time from your member dashboard or by emailing support@forkaia.com. Cancellation stops the next renewal — it does not by itself trigger a refund of your current term. Refunds are handled under our Refund Policy.

If you cancel, you keep platform access until the end of your paid-for term.

6. Acceptable use

You agree not to:

  • Impersonate any person, company, or organization;
  • Submit work product you didn't create or that infringes anyone's rights;
  • Use the platform to harass, defame, or threaten anyone;
  • Reverse-engineer the platform, scrape it at scale, or interfere with how it runs;
  • Use Forkaia® for unlawful activity, sanctioned-country business, or to circumvent export controls;
  • Resell, sublicense, or transfer your membership to anyone else.

Companies on the platform are real businesses. Treat the people on the other side of every task accordingly.

7. Your content & our content

Your content

You retain ownership of the work product you submit through the Service ("Your Content"). By submitting it, you grant Forkaia® a worldwide, non-exclusive, royalty-free license to host, display, copy, and transmit it solely to operate the Service, route it to the relevant partner company, and verify your completed work for purposes of credentials, recommendations, and recruitment.

Partner-company use

If you complete a task for a partner company through Forkaia®, that company may use your submission for its internal business purposes. We do not transfer ownership of Your Content to partner companies unless you and the company explicitly agree otherwise in writing.

Our content

Everything on Forkaia.com that is not Your Content — the platform, designs, brand, name "Forkaia®," tagline "The School of Work," logos, written content, source code, and underlying technology — is owned by Forkaia Corporation and protected by copyright, trademark, and other intellectual-property laws. You may not copy, redistribute, or create derivative works from it without our written permission.

8. Companies on the platform

Forkaia® connects you with real partner companies who post real tasks. Those companies are independent third parties. They are not our employees, agents, or partners in a legal-entity sense. We don't guarantee that any specific company will respond to you, accept your submission, hire you, give you a recommendation, or take any other action.

Any contract or relationship you form with a partner company is between you and that company — not us.

9. Warranties & disclaimers

The Service is provided "as is" and "as available." To the maximum extent allowed by law, Forkaia Corporation disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or trade usage.

We don't warrant that:

  • The Service will be uninterrupted, secure, or error-free;
  • Defects will be corrected;
  • The Service or its servers are free of viruses or other harmful components;
  • Membership will result in any specific job offer, internship, scholarship, recommendation, recruitment outcome, or credential.

10. Limitation of liability

To the maximum extent allowed by law:

  • Forkaia Corporation, its officers, directors, employees, and agents will not be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, or business interruption, arising out of or related to the Service or these Terms — even if we were told the damages were possible.
  • Our total liability to you for any claim arising out of these Terms or the Service is limited to the greater of (a) the amount you paid us in the twelve (12) months before the claim arose, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to indemnify and hold harmless Forkaia Corporation and its officers, directors, employees, and agents from any claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) Your Content; or (d) your violation of any third-party right, including any intellectual-property, privacy, or contract right.

12. Arbitration & class-action waiver

Please read this section carefully. It limits how you can seek relief from us. You and Forkaia Corporation each agree to give up the right to a jury trial and to participate in a class action.

Binding arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved through final, binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration will take place in Los Angeles County, California, unless you and we agree otherwise, or held remotely. The arbitrator's decision will be final and may be entered as a judgment in any court of competent jurisdiction.

Class-action waiver

You and Forkaia Corporation agree that any Dispute will be resolved only on an individual basis. Neither party may bring a Dispute as a plaintiff or class member in a purported class or representative proceeding. The arbitrator has no authority to consolidate more than one person's claims or to oversee any form of representative or class proceeding.

Opt-out

You may opt out of this arbitration agreement within 30 days of first agreeing to these Terms by emailing support@forkaia.com with the subject line "Arbitration Opt-Out" and your full name. Opting out won't affect any other provision of these Terms.

Exceptions

This section does not apply to: (a) small-claims-court actions, if eligible; or (b) actions seeking injunctive relief for infringement of intellectual-property rights.

13. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to the arbitration agreement above, any action that may be brought in court will be filed exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.

14. Changes to these terms

We may update these Terms from time to time. If we make a material change, we'll notify you (for example, by email or in-app notice) at least 15 days before the change takes effect. Continued use of the Service after that means you accept the new Terms.
